1. Agreement to Terms

By accessing or using AIMate's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services. These Terms apply to all visitors, users, and customers of AIMate.

2. Description of Services

AIMate provides AI-powered employee services that perform operational work on behalf of businesses. Our AI employees can be deployed on dedicated hardware at your location or hosted securely in the cloud. Services include setup, configuration, ongoing support, and access to our platform.

3. Account Registration

To use our services, you must:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

You must be at least 18 years old and have the authority to bind your organization to these Terms.

4. Payment Terms

Subscription Fees: Our services are provided on a monthly subscription basis. Fees are billed in advance and are non-refundable except as expressly stated herein.

Deposits: Reservation deposits are fully refundable until onboarding begins. Once onboarding commences, deposits are applied to your first month's service.

Price Changes: We may change our prices with 30 days' notice. Customers who locked in "Founder Pricing" during early access will maintain their original rate for as long as their subscription remains active.

Taxes: All fees are exclusive of taxes. You are responsible for paying all applicable taxes.

5. Acceptable Use

You agree not to use AIMate services to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Transmit malware, viruses, or harmful code
• Engage in fraudulent, deceptive, or misleading activities
• Harass, abuse, or harm another person or entity
• Spam or send unsolicited communications
• Attempt to gain unauthorized access to our systems
• Use the service for any illegal or unauthorized purpose
• Circumvent or disable security features

6. Intellectual Property

Our IP: AIMate and its licensors own all rights to our platform, software, trademarks, and content. These Terms do not grant you any rights to use our branding without prior written consent.

Your Data: You retain all rights to the data and content you provide to us. You grant AIMate a limited license to use your data solely to provide and improve our services.

7. Confidentiality

We understand that you may share confidential business information with your AI employee. We maintain strict confidentiality of your data and will not disclose it to third parties except as necessary to provide our services or as required by law. Our employees and contractors are bound by confidentiality agreements.

8. Service Level and Support

We strive to maintain high availability of our services. While we do not guarantee 100% uptime, we commit to:

• Responding to support requests within 24 business hours
• Providing regular maintenance and security updates
• Communicating planned downtime in advance when possible
• Working diligently to resolve issues that affect your service

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. YOU USE OUR SERVICES AT YOUR OWN RISK.

11. Indemnification

You agree to indemnify and hold harmless AIMate, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

By You: You may cancel your subscription at any time by providing written notice. Your service will continue until the end of your current billing period.

By Us: We may suspend or terminate your access immediately if you violate these Terms, fail to pay fees when due, or if we determine termination is necessary to protect our services or other users.

Effect of Termination: Upon termination, your right to use our services ceases. We will provide you with a copy of your data upon request within 30 days of termination.

13. Changes to Terms

We may modify these Terms at any time by posting the revised terms on our website. Material changes will be communicated via email or through our platform. Your continued use of our services after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AIMate regarding your use of our services and supersede any prior agreements.
